Vital Records, Inc. – Online Privacy Policy

Vital Records, Inc. (“VRI”, “our”, “us,” or “we”) has posted this privacy policy (this “Privacy Policy”) in order to communicate our practices for the collection, use and disclosure of any information pertaining to our clients and users of the Sites. This Privacy Policy refers specifically and solely to any and all information collected and/or received in any form through any of our web sites, ftp sites, portals or other online services (collectively, the “Sites”).

This Privacy Policy is effective as of December 01, 2006.

Collection of Client and User Information

In order to access some of the Sites, users may be required to designate and sign in with a user name or i.d., access key and/or password (collectively, “Access Credentials”). Access Credentials are confidential information, and you may use them solely to access to designated areas of the Sites as expressly permitted by VRI. You may not disclose your Access Credentials to any other person or entity. VRI may assign a unique identification number to your Access Credentials which VRI may use to identify the user and associated information.

In connection with the registration of your Access Credentials, your efforts to contact us or your requests for information or services, you may be prompted to provide additional contact information. We may ask you to provide personal information, such as your e-mail address, name, or work address or telephone number. VRI will use this information to contact you as necessary or appropriate to provide you services or respond to your requests.

We may collect information about your visit to the Sites, including the pages you view, the links you click and other actions taken in connection with any of the Sites. We may also collect certain standard information that your browser sends to every website you visit, such as your IP address, browser type and language, access times and referring Web site addresses. We may use “cookies,” log files, clear gifs or similar technologies on certain portions of the Site. Such technologies allow us to save certain settings, support users of the Sites, record session information, recall user preferences and/or simplify the completion of online forms. Most browsers automatically accept cookies, but you can use settings on your browser to disable or turn off cookies. If you choose to reject the cookies used by the Sites, you may be unable to access certain areas of the Sites, you may need to fully complete forms each time, or your use of the Sites may be degraded.

Collection of any Client Information

Some of the Sites permit authorized representatives of a Client, using Access Credentials, to access certain information posted on such Sites regarding such Client and its business with VRI (“Client Content”). Clients have the sole responsibility for determining what Client Content will be available via such Sites. If you provide Client Content to VRI, you do so with the understanding that the information is intended to be posted on a secure server that is connected to the Internet to allow you, your company and its authorized personnel access to such Client Content.

Use of Information

Client Content will be posted and made available on certain of the Sites via such Client’s Access Credentials. Client Confidential Information (as defined below) will be used solely for the purposes for which it was provided, collected or otherwise obtained and in accordance with any applicable agreements or terms and conditions between such client and VRI.

Any information collected and pertaining to a Client or other user’s visit to any of the Sites will be used strictly for VRI’s internal use, including, without limitation, to determine site access or activity. These access logs may also be used in order to keep a history of client and other user accesses to particular areas of the Sites for VRI’s internal use.

Disclosure of Information

Any information of any client that, to VRI’s knowledge, is confidential or proprietary information (“Client Confidential Information”) will not be shared with anyone other than the client, representatives of the client and employees of VRI.

Any Client Content will not be shared with any other clients and/or made publicly available. Client Content may be accessible to any individual or entity having access to your Access Credentials. Therefore, you are responsible for maintaining the confidentiality of any Access Credentials, as well as for any access, activities, use of the Sites or other uses of your Access Credentials.

To prevent unauthorized access or disclosure, maintain data accuracy and facilitate the appropriate use of information, VRI uses physical, technological and administrative procedures to attempt to protect the Client Content. Nevertheless, Internet transmissions are never completely private or secure. You understand that any Client Content and any other information that you access via the Sites may be read or intercepted by others.

Unless otherwise agreed in writing by VRI, VRI reserves the right to disclose any information, including, without limitation, Client Confidential Information, Client Content and any other information regarding clients or other users of the Sites, based on the good faith belief that such action is necessary or appropriate to: (a) protect and defend the rights or property of VRI, (b) act in urgent circumstances to protect the safety or security of the public or of users of the VRI’s services and/or the Sites, or (c) comply with any applicable law, rule or regulation.

Storage and Maintenance of Client and User Information

Any identifiable information (i.e., not aggregate or de-identified information) regarding any Client or user of the Sites provided or obtained via the Sites will be stored and maintained by VRI until the subject of such information instructs us otherwise, or, in VRI’s sole discretion, for the longer of: (a) for so long as is necessary or appropriate to carry out the purpose(s) for which such information was collected and (b) for so long as we are required to maintain such information by law or other applicable rules or regulations.

Access to Client Confidential Information and Client Content

VRI will use commercially reasonable efforts to permit the authorized representatives of any Client to access and review any Client Confidential Information of such Client. Clients may access and review Client Content via some of the Sites using such Client’s Access Credentials. VRI reserves the right to refuse access to Client Confidential Information in the event that such access is, in VRI’s reasonable determination,: (a) cost prohibitive, (b) likely to compromise the confidentiality of Client Confidential Information or Client Content of other clients or confidential information any other party, (c) prohibited by applicable law, rule or regulation, or (d) requested in bad faith. VRI will use commercially reasonable efforts to correct any incorrect or inaccurate Client Content or Client Confidential Information within a reasonable time following receipt of written notice of such inaccuracies from an authorized representative of such Client. VRI will not, as a general policy, provide access or make corrections to information or content provided by users of the Sites that are not clients of VRI, provided that VRI reserves the right to correct or modify such information at any time and from time to time in its sole discretion.

Changes to This Privacy Policy

We may modify, update, revise or replace this Privacy Policy from time to time and at any time. When we post changes to this Privacy Policy, we will revise the “effective date” at the beginning of this Privacy Policy. If there are material changes to this Privacy Policy or in how VRI will use your personal information, we will notify you either by prominently posting a notice of such changes or by directly sending you a notification. We encourage you to periodically review this Privacy Policy to be informed of how VRI is protecting your information. If, at any time, you do not agree to the terms and conditions of this Privacy Policy, including as it may be amended from time to time, you must discontinue your use of the Sites.
